Public Offer Agreement

This document is a Public Offer Agreement under Ukrainian law (Articles 633 and 641 of the Civil Code of Ukraine). It is an official public proposal by Sole Proprietor (FOP) Pimenov Volodymyr Volodymyrovych to enter into an agreement on the supply of digital services and digital content to any individual or legal entity on the terms below.

1. General provisions

This Agreement governs how access to the Momo Hero platform is provided, how prompts, AI-generated business plan templates, information products and other digital content are bought, and how the Early Bird SaaS registration works. Making a payment through the payment gateway on www.momohero.com is full and unconditional acceptance of this Agreement by the User. This Agreement has the same legal force as a bilateral written agreement signed by the parties.

2. Subject of the Agreement

The Provider undertakes to supply digital content and software access rights (the "Services"), and the User undertakes to pay for them on the terms of this Agreement. The scope, technical characteristics, delivery formats and prices of the Services are set out on the relevant pages of the Platform.

3. Concluding the contract

The contract is concluded at the moment the User does one of the following: completes the order or subscription form and confirms acceptance of the terms; or makes full or partial payment for a chosen digital product, prompt pack, or Early Bird SaaS package. By accepting this offer the User confirms that they have received all necessary information about the digital nature of the products and the conditions of access.

4. Prices and payment

Prices are shown on the Website in US dollars, or the local-currency equivalent offered at checkout. Payments are processed by WayForPay, a third-party electronic payment provider integrated into the Platform. The Provider's obligation is met once the funds are cleared into the Provider's account and the digital goods or access links are generated or made available to the User.

5. Delivery of digital content

Digital content, including prompts, guides, templates and download packages, is delivered immediately after a successful payment, by download link or email. Early Bird SaaS credits are a pre-order right to use the upcoming automated Platform when it is publicly released, estimated in 2026, with roadmap updates published on the Platform.

6. No returns or refunds

The Services are digital content supplied immediately on payment. By accepting this offer the User agrees that performance begins at the moment of payment and waives any statutory cooling-off or withdrawal period for the digital item purchased. All sales are final. No returns, exchanges, cancellations or refunds are provided for a delivered product, except for a duplicate charge, an erroneous charge, or a genuine failure by the Provider to deliver a working copy of the specific item paid for. The full terms are in the Return and Refund Policy, which forms part of this Agreement.

7. Rights and obligations of the parties

The Provider may modify the Platform structure, discontinue components, change prices, and restrict access for Users who breach these terms. The User must provide valid contact details, pay the full price for selected items, and not extract proprietary prompt or template structures for commercial redistribution.

8. Liability

The Provider supplies planning tools and templates and does not guarantee any financial, funding, regulatory or commercial outcome. To the maximum extent permitted by applicable law, the Provider is not liable for indirect, incidental or consequential losses arising from the use of or inability to use the Services. Outputs do not constitute professional financial, legal, tax or investment advice.

9. Term and changes

This offer is valid from the moment it is published on the Website until it is withdrawn or replaced. The Provider may amend this Agreement at any time by publishing a new version on the Website. Use of the Platform after a change means the User accepts the updated Agreement.

10. Governing law

This Agreement is governed by the laws of Ukraine. Disputes are subject to the exclusive jurisdiction of the competent courts of Ukraine, read together with the Terms and Conditions.

11. Provider details and bank requisites

This is a plain-language draft of a public offer for a digital-goods business and should be reviewed by your own legal adviser before it is relied on.
